These Terms of Service ("Terms") govern your use of this website and any services provided by ToolBlt ("ToolBlt," "we," "us," or "our"). By using this website or engaging us for services, you agree to these Terms.

1. Services

ToolBlt provides website design, development, and related digital marketing services (such as local SEO support, review management, and ongoing site maintenance) to contractors and other small businesses, as described on this website or agreed to in a separate proposal, quote, or statement of work.

You're responsible for providing accurate business information, and for any content, logos, photos, or materials you supply for use on your site. By providing that content, you confirm you have the right to use it, and you agree we can use it to build and display your site. You're responsible for reviewing your site before launch and for maintaining the accuracy of information (like pricing, service areas, and licensing details) shown on it going forward.

4. Intellectual property

Upon full payment for a completed project, ownership of the final delivered website design and content created specifically for you transfers to you, except for any third-party elements (such as stock photography, fonts, plugins, or licensed software) which remain subject to their own licenses. Until full payment is received, all work product remains the property of ToolBlt.

ToolBlt retains the right to display completed projects in its own portfolio and marketing materials, unless otherwise agreed in writing.

5. No guarantee of results

We aim to build sites that help generate leads and visibility, and we'll share our honest assessment of what's achievable. However, we cannot guarantee specific outcomes such as search engine rankings, a certain number of leads, call volume, or revenue, since these depend on factors outside our control (including search engine algorithm changes, market conditions, and competitor activity).

6. Third-party services

Your site may rely on third-party services we don't control — such as domain registrars, hosting providers, form-handling services, or AI service providers. We aren't responsible for outages, price changes, or policy changes made by those third parties, though we'll do our best to help you navigate any issues that come up.

7. Limitation of liability

To the fullest extent permitted by law, ToolBlt's total liability for any claim arising from our services is limited to the amount you paid us for the services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, even if we've been advised of the possibility of such damages.

8. Disclaimer of warranties

Our services and this website are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.

9. Independent contractor relationship

ToolBlt operates as an independent contractor when providing services to clients. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between ToolBlt and any client.

10. Termination

Either party may end an ongoing services relationship with reasonable written notice (such as email). Fees paid for work already completed are non-refundable; any refund for incomplete work will be handled on a case-by-case basis as agreed between the parties.

11. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of this website or our services after changes are posted means you accept the updated Terms.
